如何用英语表达「以……为准」？ 第1页

在翻译中文合同时，合同最后往往有这么一句话：

- 本合同中英文版本如有冲突，应以中文版为准。

在这里，很多人都知道用 prevail这个词表示“以….为准”，如

- In the event of any discrepancies between the English and Chinese versions, the Chinese version shall prevail.

除了prevail外，在这种语境里好有几个词都可以表达同样的意思，总共有这些选择：

• prevail
• control
• govern
• take precedence

1）prevail

这个最常见，就不赘述了。

2）control

美国肯特州立大学（Kent State University）的Independent Cotractor Terms of Agreement（独立建筑承包商协议条款）：

10.7 Authoritative Version. The English version of this Agreement shall be the authoritative version of the Agreement for all purposes. In the event of a conflict between the English version and any translation of this Agreement, the English version shall control.

3）govern

谷歌公司Season of Docs 2020 Technical Writer Participant Agreement里

7.12 Translations. In the event of any discrepancy between the English version of this Agreement and a translated version, the English version will govern.

4）take precedence

美国弗吉尼亚州费尔法克斯县官网：

If there is any discrepancy between an English version of a document and a translated version, then the English version will take precedence.

美国证交会官网思科公司的Stock Option Assumption Agreement中：

You acknowledge that if you have received this Agreement or any other documents related to the Plans translated into a language other than English, and if the meaning of the translated version is different from the English version, the English version will take precedence.

大家可能也会问，日常使用表达“以…为准”时，用这些法律专用词会不会显得太装逼太严肃？

是的，这四个词里prevail, control, govern都是针对法律语境的特殊用法，强行用在日常表达里会有些格格不入。

还有一个最大的问题是，有些没接触过法律英语的或者受教育程度不高的老外不知道prevail/control/govern能表达这个意思。

这四个词汇里，只有take precedence比较中性一点，即可以用于法律语境，也可以用日常语境，大部分人都能听得懂。

这里说说precedence这个词，它表示“居先的”、“优先的”，就是priority的意思。

我们可能见过unprecedented这个词，表示“前所未有的”，和precedence是来自同一词源。

还有predecessor表示“前任”，当然不是指男女朋友的“前任”（这里用ex-），而是指某个岗位的“前任”，和successor（继任者）是反义词。

回到take precedence的用法，我们经常会遇到这种情况，客户既发了图纸(drawing），又给你一份规格书(specifications），两份文件有些地方不一样，你想知道，到底以哪个为准？

如果你问Which one prevails/controls/governs?，就会奇怪，老外第一反应是what are you saying?

如果你问Which one takes precedence? 则完全没问题，这里的take也可以换成have，即Which one has precedence？

英文合同里，还有一个专门的术语叫 order of precedence，用于定义文件的优先次序。因为做一个大型项目时，要签很多合同、协议、意向书、规格、图纸等等，但人无法避免会犯错，会导致这些文件之间可能会有冲突的地方，所以提前定义好如果出现冲突时，以哪份文件为准。

如：

In the event of an inconsistency between documents, the following order of precedence shall apply:

1. (State contract name and number e.g. MOBIS CONTRACT GS-10F-XXXXX)

2. Task Order Statement of Work

3. Task Order Attachments, drawings, etc. associated with the Statement of Work

4. Contractor's Task Order Quote

其他情况的“以...为准”。

1）直接用be correct/latest/final/standard表示。

我们再来说说，如果是写邮件的时候发现第一封邮件写错，想要大家忽略第一封邮件，以第二封邮件“为准”，怎么说呢？

这里不能用prevail/control/govern/take precedence，因为第一封邮件错了就是错了，没有谁优先的问题，一般老外都是直接 Please disregard my previous email as there was an error in it. This one is correct.

记住啊，这里的“以…为准”，就是直接说“This one is correct"。

如果是某个图纸的版本很多，不知道以哪个版本为准，经过多次确认后，找到个一个版本，你告诉别人，“以这份为准”，这里是说 This drawing is the latest。

如果是表达“以我说的为准”，这里是涉及到最终决定，是用final表示，This is final。

国家统计局英文版官网有《中华人民共和国统计法》的英文版，其中有一句话：

- 国家统计数据以国家统计局公布的数据为准。

这句话的翻译如下，用的是standard：

- Statistical data published by the National Bureau of Statistics shall be the standard data.

2）be dependent on

这里用于表示前面是暂定或未定，不能作为最终依据，要依赖于其他情况才能确定。

- Quantities will be dependent on the actual configuration

- 数量以实际的配置为准。

3）图片仅供参考，以实物为准怎么翻译？

国人的经典翻译是The picture is for reference only, subject to the actual product。你中招了吗？

我在外网搜了一圈，发现全是中国公司运营的跨境电商在这么说，老外没有这样用的。

因为subject to这样用太奇怪了，subject to是指“受到...的影响”，老外一般指会说subject to change（产品可能会更改）。

我们不要看字面，来看看这句话里“以实物为准”是什么意思。这里的“为准”和前面所有的例子意思都不一样，并不是指实物才是标准的，而是指实物和图片会不一样。只要明白这个意思，就按照这个意思翻译就没错了。

看看老外自己写的：

- Please note that all pictures shown on our website are for illustration purpose only and actual products may vary due to product enhancement or change.

- Product pictures and display contents on the foregoing pages are provided for reference only. Actual product features and specifications (including but not limited to appearance, colour, and size), as well as actual display contents (including but not limited to backgrounds, UI, and icons) may vary.

- Product images are for illustrative purposes only and may differfrom the actual product. Due to differences in monitors, colours of products may also appear different to those shown on the site.

核心部分在于，actual product may vary/differ，都是表示实际产品可能有变动，大家以后按照这个方式翻译就没错了。

中文的“以...为准”其实是一个模糊的概念，在不同语境的意思不一样，不能强行用某一个标准翻译去套用，有些小伙伴查字典找到Please refer to这个表达，但其实这是表达“请查阅。。。”，并没有完全暗示这份是准确的，有些情况就不适用，不如用"Pease follow ...”，以上几种情况都能适用，不过带一点点祈使语气，面向客户或者老板时就不妥了，这时还是用回以上的 This one is correct/latest/final/standard比较好。

这种问题才有意义。口语用 follow。至于正式合同的用词，我也不敢查字典。甚至拿类似合同来抄都有风险。我是问外资行的律师的，另一个英硕。把合同上下文告诉他，问他哪个词最确切。他做到高级合伙人，碰到金融的词也问我。真是知道得越多越谨慎。顺便说一下，有个回答不确切，subject to 是“以......为前提条件”，不是“以......为准”。
